Terms of service

Short version: message only people who contacted you first, keep the automation disclosure and the STOP opt-out, stay inside Meta's rules, and we keep the service running and bill you fairly.
1. The agreement
These terms are a contract between [legal entity], [registered address]("we", "us") and the person or company opening an account ("you"). Creating an account means you accept them.
Our privacy policy is part of this agreement. If you use the service on behalf of a company, you confirm you are allowed to bind that company.
2. What the service does
Replyz connects to an Instagram account you own through the official Instagram API. You choose a keyword, write a conversation once, and the product answers people who use that keyword in a comment or a direct message, then sends them the link you configured.
Sandbox mode. Until an account has the Instagram permissions that Meta grants after app review, the product runs in sandbox: automations, conversations and previews work exactly as they will later, but nothing is delivered to anyone. Every message created in sandbox is labelled as such in the dashboard. We tell you plainly which mode you are in, and we never charge for messages that were not delivered.
We add and change features. We will not remove something you rely on without notice to account owners.
3. Your account
You must be 18 or older, give a working email address, and keep your credentials to yourself. You are responsible for what happens under your account, including what your team members do.
You may connect only Instagram accounts you own or are authorised to manage. Connecting someone else's account ends the agreement immediately.
4. What you must and must not send
This is the part that keeps both of us inside Meta's rules. It is not negotiable.
- Only answer people who contacted you first. A comment, a direct message or a story reply is an invitation. A follower list is not. Importing contacts and messaging them is forbidden.
- Say what will happen. The post or reel that invites the keyword must make clear that a direct message follows.
- Keep the automation disclosure and the opt-out. Every conversation discloses that replies are automated and tells people they can reply STOP. Both are applied by the product and cannot be switched off.
- Honour STOP immediately. The product does this for you; working around it, for example by messaging the same person from another connected account, ends the agreement.
- No adult content, no hate, no harassment, no illegal goods, no misleading financial or health claims, no impersonation, no malware or phishing links.
- Follow the law where your audience lives, including data protection and electronic marketing rules, and Meta's Platform Terms and Community Guidelines.
You are the controller of the data of the people you message. You are responsible for having a lawful basis for those conversations, and for answering their requests. We help, but we cannot answer for you.
5. Instagram and Meta
Replyz is independent software that uses the public Instagram API. It is not affiliated with, endorsed by or sponsored by Meta Platforms, Inc. Instagram and Meta are their trademarks.
Meta controls the API. It can change limits, permissions and rules, and it can restrict an app or an account at any time. If that happens, parts of the service may stop working through no fault of either of us. We will tell you what we know and, where a paid feature becomes unusable, credit the affected period.
6. Plans, billing and refunds
- Paid plans are billed in advance, monthly or yearly, through our payment provider.
- Prices are shown before you pay. Taxes are added where the law requires it. You are responsible for the tax details you give us.
- You can cancel at any time. Cancelling stops the next renewal and leaves your access running until the end of the period you already paid for. We do not cut access early and we do not confiscate a paid period.
- Partial periods are not refunded, except where the law says otherwise or where we failed to deliver a paid feature.
- Failed payment moves the workspace to past due. Automations pause after a grace period rather than being deleted.
- Price changes are announced at least 30 days ahead and never apply to a period you already paid for.
7. Data protection
For your audience's data we act as your processor and only on your instructions, which are the automations you configure. The details, including the list of subprocessors, retention periods and deletion routes, are in the privacy policy, which forms our data processing agreement.
Anyone can have their data deleted through the data deletion page, by removing the app in Instagram, or by writing to support@replyz.app.
8. Suspension and termination
We may suspend an account or a single automation, without refund for the period affected, when there is reasonable evidence of unsolicited messaging, of a breach of Meta's rules, of content banned above, or of activity that puts our API access at risk. Where the situation allows it we warn first and give you a chance to fix it; where it does not, for example an active spam run, we act first and explain afterwards.
You can close your account at any time from the dashboard. We can end this agreement with 30 days' notice, and we refund the unused part of a prepaid period if we do.
After termination you have 30 days to export your data, then we delete it as described in the privacy policy.
9. Ownership
You own your content: your automations, your messages, your audience data. You give us the limited right to store, process and transmit it, so that we can run the service for you.
We own the software, the interface and the brand. Nothing here transfers that to you. You may not copy the service, resell access without a written agreement, or attempt to extract the source.
10. Disclaimers
The service is provided as it is. We do not promise particular results: no number of replies, no conversion rate, no revenue. Anyone who does promise that is guessing.
We do not promise uninterrupted availability. We aim high and we publish incidents, but maintenance, provider outages and Meta's own limits mean downtime happens. Free plans come with no availability commitment at all.
11. Limitation of liability
Neither side is liable for indirect or consequential loss, lost profit, lost data beyond our duty to restore backups, or loss of goodwill.
Our total liability for any claim is limited to the amount you paid us in the 12 months before the event that caused it. If you are on a free plan, that amount is zero, which is the honest consequence of a free plan.
Nothing here excludes liability that cannot lawfully be excluded, including for fraud, death or personal injury caused by negligence, and consumer rights where they apply.
12. Indemnity
If someone brings a claim against us because of messages you sent, content you published through the service, or your breach of these terms, you cover our reasonable costs and damages. We will tell you promptly about any such claim and let you take part in the defence.
13. Changes to these terms
We may change these terms. Material changes are emailed to account owners at least 30 days before they take effect, and the date at the top is updated. Continuing to use the service after that date means you accept the new version. If you do not, cancel before it starts and we refund the unused part of the period.
14. Governing law and contact
This agreement is governed by the law of the jurisdiction in which [legal entity] is registered, and disputes belong to the courts of that jurisdiction, unless mandatory consumer rules in your country of residence give you a different forum.
If a clause turns out to be unenforceable, the rest stays in force. Our failure to enforce a clause is not a waiver of it.
